NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF ONE OF THE FIFTY UNITED STATES OR THE DISTRICT OF COLUMBIA. Void where prohibited. Subject to all federal, state, and local laws and regulations.

1.     DESCRIPTION: The NOBULL x Strava Challenge 2025 Giveaway (the “Sweepstakes”) begins at 12:01AM Eastern Time (“ET”) on September 10, 2025 and ends at 11:59PM ET on October 7, 2025 (the “Promotion Period”). Entry into the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. Each entrant participating in the Sweepstakes unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of NOBULL, LLC located at 135 Morrissey Boulevard, Boston, MA 02125 (the “Sponsor”), including the Sponsor’s interpretation of these Official Rules, which shall be final and binding in all respects.

 

The Sweepstakes is conducted in connection with the NOBULL x Strava Challenge (the “NOBULL Strava Challenge” or “Challenge”), which will be viewable and open for sign-up on the Strava, Inc. (“Strava”) platform beginning September 10, 2025. The Challenge is scheduled to begin on September 17, 2025 and end on September 30, 2025. The Challenge will be open for sign-up during the Challenge Sign-Up Period (as defined below) and will run during the Challenge Period (as defined below), with all Challenge-related start and end times determined by each participant’s applicable local time zone. Additional details regarding participation in the Challenge and alternative methods of entry into the Sweepstakes, are set forth in Section 3 (“How to Enter”) below.

 

2.     ELIGIBILITY: Only legal residents of the fifty (50) United States and the District of Columbia, who, as of the date of entry, are 18 years of age or older are eligible to enter the Sweepstakes (each such person, “you” or “Entrant”). Employees, officers, and directors of Sponsor and Strava and each of their respective parents, affiliates, subsidiaries, suppliers, distributors, retailers, sales representatives, and advertising and promotional agencies (collectively, “Released Parties”), and their immediate and extended family members (including, but not limited to, spouses, domestic partners, parents, siblings, and children), and household members of each (whether related or not) are not eligible to enter into the Sweepstakes or win the Prize. Void where prohibited by law. All federal, state and local laws and regulations apply. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning the Prize is contingent upon fulfilling all requirements set forth herein. The Sponsor reserves the right to verify the eligibility of any winner.

 

3.     HOW TO ENTER: During the Promotion Period, you may enter the Sweepstakes in one of the following two (2) ways:

 

a.     By Completing the NOBULL x Strava Challenge and Submitting an Entry Form.  During the Promotion Period, Sponsor, in coordination with Strava, will post the NOBULL Strava Challenge. The Challenge will be open for sign-up beginning at 12:01AM local time on September 10, 2025 and ending at 11:59PM local time on September 30, 2025 (the “Challenge Sign-Up Period”). The Challenge will then run during the period beginning at 12:01AM local time on September 17, 2025 and ending at 11:59PM local time on September 30, 2025 (the “Challenge Period”), during which, participants will be asked to complete and log onto their Strava account a total of at least two hundred (200) minutes of movement. Additional details of the specific requirements for completing the Challenge will be as specified on the Challenge page/listing on the Strava platform.

 

To enter the Sweepstakes by completing the NOBULL Strava Challenge, you must:

 

                                    i.     Have or create a Strava account. Registration for a Strava account is free (i.e., no purchase is required to enter the Challenge or the Sweepstakes). For clarity, while Strava offers paid subscription options, a paid Strava subscription is not required to participate in the Challenge or this Sweepstakes.

 

                                   ii.     During the Challenge Sign-Up Period, sign up for the NOBULL Strava Challenge through your Strava account.

 

                                 iii.     During the Challenge Period, complete the Challenge by logging at least two hundred (200) minutes of movement, with the activity data recorded on your Strava account (either tracked directly through the Strava app, or automatically synced from a compatible wearable device or service linked to your Strava account).

 

                                 iv.     Following completion of the Challenge, you will receive a Strava notification (e.g., via Strava prompt or email) containing a link to the Sweepstakes entry form. Complete and submit the entry form by providing all required information (including your name, a valid email address, and telephone number) no later than 11:59PM ET on October 7, 2025.

 

Any eligible individual that completes all of the above steps during the Promotion Period will earn one (1) entry (an “Entry”) into the Sweepstakes. In addition, participants who successfully complete the Challenge will also be eligible to receive the Finisher Reward (as defined below), consisting of a one-time promotional discount code for fifty dollars ($50) off the purchase of NOBULL Drive shoes. The Finisher Reward is separate from the Sweepstakes Prizes. Redemption or use of the Finisher Reward is not required to enter or win the Sweepstakes. The Finisher Reward is subject to additional terms, conditions, and availability as determined by Sponsor.

 

b.    By Alternate Method of Entry via Email Submission (Without Completing the Challenge).  Eligible participants, including those who are unable or unwilling to complete the Challenge for any reason, may also enter the Sweepstakes by sending an email to [email protected] during the Promotion Period with the subject line “NOBULL x Strava Challenge Giveaway Entry” (the “Alternate Method of Entry” or “AMOE”). The body of the email must include the following: (a) Entrant’s (i) full name, (ii) complete home mailing address (no P.O. boxes), (iii) telephone number, (iv) date of birth, and (v) a brief explanation (between approximately fifty (50) and one hundred fifty (150) words) describing the entrant’s favorite way to stay active or what motivates them to move. Sponsor may verify compliance with these entry requirements, including any written explanation submitted as part of the Alternate Method of Entry. For clarity, the content of any such written explanation will not affect the Entrant’s chances of winning. As described below, the winner of the Sweepstakes will be selected in a random drawing. All AMOE entries must be received by Sponsor no later than 11:59PM ET on October 7, 2025.

 

Limit one (1) Entry per person, regardless of entry method. Multiple entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that Entrant's entries and that Entrant may be disqualified. Entries must be received by Sponsor during the Promotion Period and in strict accordance with these Official Rules. Sponsor is not responsible for and may void any late, lost, illegible, corrupted, incomplete, or misdirected Entries, or any Entries generated by macro, bot, or other automated means. Entries may not be made jointly or on behalf of any group. All Entries become the property of Sponsor and will not be returned. Normal data rates imposed by mobile carriers may apply to Entries submitted or participation via mobile device.

 

4.     RANDOM DRAWING: Five (5) potential Prize winners will be selected in a random drawing on or about October 8, 2025 from among all eligible entries received during the Promotion Period. The random drawing will be conducted by Sponsor, whose decisions are final on all matters relating to the Sweepstakes. The odds of winning depend on the total number of eligible entries received during the Promotion Period.

 

5.     WINNER NOTIFICATION: Sponsor will notify the potential Prize winners via the email addresses provided on the entry form within seven (7) business days of the drawing. The potential winners must respond within forty-eight (48) hours of notification and provide all information requested by Sponsor, which may include, without limitation, a valid U.S. shipping address for prize fulfillment. Winners may be required to sign and return an affidavit of eligibility, a Release of Liability and, if legally permissible, a Publicity Release (collectively, “Prize Claim Documents”) within three (3) days of Sponsor’s attempted delivery of the same. If any potential winner fails or refuses to sign and return any Prize Claim Documents by the deadline specified in the prize notification, or if the Prize or prize notification is returned as undeliverable, declined for any reason, or if the winner otherwise fails to comply with any specified time period, such winner may be disqualified without further notice, and an alternate winner may be selected in a random drawing from among all remaining eligible entries received.

 

6.     PRIZE & APPROXIMATE RETAIL VALUE (“ARV”): Five (5) winners will each receive one (1) NOBULL gift card with a value of five hundred dollars ($500) (each, a “Prize”). The ARV of each Prize is $500. The total ARV of all Prizes to be awarded in the Sweepstakes is $2,500.

Prize is not transferable and is subject to availability. The winner is solely responsible for all federal, state and local taxes associated with Prize acceptance and use. If required by law, the winner will receive an IRS Form 1099 for the actual retail value of the prize and must provide Sponsor with any necessary tax documentation, including a valid Social Security number. Failure to provide required tax forms or comply with applicable laws may result in forfeiture of the Prize, at Sponsor’s discretion.

 

In addition to the Prizes awarded through the Sweepstakes, each eligible participant who signs up for the NOBULL Strava Challenge during the Challenge Sign-Up Period and successfully completes the Challenge during the Challenge Period will be eligible to receive a one-time promotional discount code for fifty dollars ($50) off the purchase of NOBULL Drive shoes (the “Finisher Reward”). The Finisher Reward will be distributed by Sponsor following verification of Challenge completion and must be redeemed no later than October 7, 2025. Limit one (1) Finisher Reward per person. The Finisher Reward is subject to additional terms, conditions, and availability as specified by Sponsor, may not be transferred, substituted, or redeemed for cash, and will not be awarded to individuals who enter the Sweepstakes via the Alternate Method of Entry. The Finisher Reward is promotional in nature, has no ARV for purposes of this Sweepstakes, and is distinct from the Sweepstakes Prizes described above.

 

7.     GENERAL CONDITIONS, RELEASE AND LIMITATION OF LIABILITY: Sponsor reserves the right, in its sole discretion and to the maximum extent permitted by law, to modify these Official Rules or cancel, suspend, or terminate the Sweepstakes at any time for any reason. The Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. No transfer, assignment, substitution or cash equivalent for any prize will be permitted, except at the sole discretion of the Sponsor in the event of prize unavailability. In such a circumstance, an alternate prize of equal value may be awarded, and Sponsor’s obligation to the winner will be fulfilled, with no additional compensation provided. Resale of Prize is prohibited. In no event will more than the stated Prize be awarded.

 

If an Entrant submits more than the stated number of entries permitted, and/or if the Sponsor suspects that an Entrant attempted to obtain additional entries by using multiple or different usernames, email addresses, registrations, identities, or any other method, Sponsor will void that Entrant’s entries and that Entrant may be disqualified.

 

Entries generated by script, macro or other automated means and entries by any means that subvert or interfere with the entry process are void. Void entries will not be acknowledged or returned. The Released Parties are not responsible for lost, late, incomplete, misdirected, invalid or unintelligible entries, which will be disqualified. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, sweepstakes entry services or the creation of fraudulent email addresses and/or identities) will void all entries by that Entrant. Normal internet access and data charges imposed by your internet/wireless phone service provider may apply. See your internet/wireless provider for pricing plan details. Sponsor reserves the right to disqualify any individual who is found to be: (x) tampering with the entry process, administration, or operation of the Sweepstakes; (y) acting in violation of these Official Rules; or (z) engaging in unsportsmanlike, disruptive, or harassing behavior intended to annoy, abuse, threaten, or harass any other person.

 

In the event of a dispute as to any entry, the authorized account holder of the email address used to enter will be deemed the Entrant. The “authorized account holder of the email address” is the natural person assigned the applicable email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain. Potential winners may be required to show proof of being the authorized email address holder associated with the entry.

 

The Released Parties assume no responsibility or liability for damages, losses or injury resulting from acceptance, use or misuse of any prize. In exchange for the right to participate in the Sweepstakes, Entrants and the winner agree to release, discharge, indemnify, defend and hold harmless Released Parties from and against any and all liability (including, but not limited to, damages caused or claimed to be caused, losses, injuries, claims, demands, actions, costs, expenses, and attorneys’ fees) arising out of or related to participation in the Sweepstakes and/or acceptance, use, or misuse of the Prize. Entrants further agree to be bound by these Official Rules and Sponsor’s decisions, which are final and binding in all matters.

 

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. The Released Parties are not responsible for any typographical or other errors in the printing of the Sweepstakes materials, administration of the Sweepstakes, or announcement of the Prize winner. NOTICE: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY DIGITAL PLATFORM, WEBSITE, OR ONLINE SERVICE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. The Released Parties are not responsible for faulty, incorrect, undeliverable or mistranscribed email transmissions, direct messages, or other communications, incorrect announcements of any kind, technical failures of any kind, including but not limited to hardware, software, or phone-related issues, or any injury or damage to a person's computer, phone or device related to or resulting from participating in or experiencing any materials in connection with the Sweepstakes. Lost or unavailable network connections, failed, incomplete, garbled or delayed transmissions that may limit a user's ability to participate in the Sweepstakes are not the responsibility of the Released Parties. The Released Parties assume no responsibility for undeliverable messages or emails, including but not limited to those resulting from any form of active or passive email filtering by a user's Internet service provider and/or email client or for insufficient space in user's email account to receive email.

 

All entrants understand and agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state, territory, or country that may be applicable with respect to the foregoing release are hereby expressly and forever waived. All participating entrants acknowledge that Section 1542 provides that:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

 

The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims. Sponsor reserves the right to cancel or modify the Sweepstakes if fraud, misconduct or technical failures threaten the integrity of the Sweepstakes; or if a computer virus, bug, or other technical problem corrupts the administration or security of the Sweepstakes as determined by Sponsor, in its sole discretion. In the event of termination, a notice will be posted online and the drawing will be conducted from among all eligible Entries received prior to termination. Any damage caused to Sponsor’s or Strava’s digital platforms, including but not limited the Website, Strava’s website or platform, other online platforms, by an Entrant will be the responsibility of the Entrant and/or the authorized account holder of the email address submitted at the time of Entry. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.

 

8.     PUBLICITY: Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winner’s name, likeness and entry for purposes of advertising and trade without further compensation, including a Winners List (as defined below), unless prohibited by law. The winner may be tagged by Sponsor and Strava in social media posts announcing the winner and may be featured in Sponsor’s, Strava’s, and their respective affiliates’ Instagram stories, posts, and other promotional materials. 

 

9.     DISPUTES: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF DELAWARE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, each Entrant agrees that any and all disputes that cannot be resolved between the parties, and all causes of action arising out of or connected with this Sweepstakes, shall be resolved individually without resort to any form of class action and exclusively before a court having jurisdiction located in New Castle County, Delaware. In any such dispute, under no circumstances will Entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental or consequential damages, including reasonable attorneys’ fees, other than Entrant’s actual out-of-pocket expenses (e.g., evidenced costs associated with entering this Sweepstakes). Entrant further waives all rights to have damages multiplied or increased.

 

10.  PRIVACY: Any personal information that an Entrant provides in connection with the Sweepstakes shall be used by Sponsor to administer this Sweepstakes, contact Entrants, and for the other purposes set forth in the Sponsor’s privacy policy and Strava’s privacy policy. By entering this Sweepstakes, you acknowledge that you have read and agree to both the Sponsor’s privacy policy (available at https://www.nobullproject.com/pages/privacy-policy) and Strava’s privacy policy (available at https://www.strava.com/legal/privacy#full_policy). If an Entrant opts in, Sponsor may provide such Entrant with information relating to products, services and promotions of Sponsor and affiliates of Sponsor. Any use of Strava’s platform in completing the Challenge is subject to separate agreements between you and Strava, including any governing terms or privacy policy applicable to your Strava account.

 

11.  WINNERS LIST: As used in these Official Rules, the “Winners List” means the official record of the confirmed winners of the Sweepstakes. To receive a Winners List by email, send an email to [email protected] with “The NOBULL x Strava Challenge 2025 Giveaway” in the subject line. Requests must be received within sixty (60) days after the end of the Promotion Period. The Winners List will be sent upon request after the Prize has been awarded.

 

12.  AMENDMENT: These Official Rules may be amended at any time by the Sponsor. Any such amendment shall be notified by the Sponsor on its website.
